The structured finance business is an
essential part of China Development Financial Holding’s
commitment to promoting development and infrastructure
funding. Since first getting involved in this niche
market in 1984, we have recruited experienced professionals
both at home and abroad and provided high-quality services
to emerge as one of the leaders in the field among Taiwan’s
financial institutions.
Beginning in 2004, we actively pursued corporate restructuring
and merger and acquisition opportunities, targeting
industries or companies that met our earnings criteria
and had high potential for capital gain and fee income
opportunities. In 2007, we also focused on the machine
tool industry, discovering plenty of well-performing
companies whose competitive advantages distinguished
them in the industry. Seeing promising growth in the
future, CDIB invested in Yeong Ching Machinery and Accutex
Technologies Co during this year. We also handled the
restructurings of Sogotec Enterprise Co., assisting
them in strengthening their management team and turning
around their financial situation.
In looking ahead to the 2008, we intend to continue
integrating the resources of various divisions (including
those dealing with direct investment and credit clients),
enhance the competitiveness of out current portfolio
companies, and seek out more corporate M&A advisory
roles.,.
In the area of project financing, CDIB sold Ever Power
shares to Marubeni Corporation with Singapore Power
International Ptd Ltd, jointly representing 40% of Ever
Power total outstanding common shares. We also advised
Marubeni Corporation in negotiating a jointly-managed
mechanism with the largest existing Ever Power shareholder.
In addition, we cooperated with our Institutional Banking
Group to arrange a 4.2 billions NTD syndicated loan
for this transaction and signed the syndicated loan
agreement at the end of 2007. Additionally, CDIB has
also been engaged by OneEnergy Group as the Lung-Kang
Project financial advisor for participating in the 4th
round independent power producer solicitation held by
Ministry of Economic Affairs. We signed a MOA with Veolia
Water, affiliate of the world largest environmental
services corporation, to collaborate in the development
and implementation of the Build-Own-Transfer water treatment
business model in Taiwan.
